Differences between Virual Private Server and a Dedicated Server?

From what I understand a Dedicated Server allows you full access, (100% ram, cpu etc) along with root access.

While with a VPS you basically have a room in a hotel room and only have a slice of the resources?

Any pointers would be helpful :)

With a VPS you have full access to resources assigned to your package. With a dedicated server, you have an actual physical server that has all physical resources installed. With a VPS you can upgrade or downgrade resources on your VPS without downtime. With a dedicated server you will need to physically upgrade or replace resources (RAM, HDD...)
